1- In Flash, go to File / Publish Settings. Select the HTML tab and go to "Windows Mode" box. Choose "Transparent Windowless". Flash will export it transparent.

You would have to publish your .fla file to swf and html.
1. open your .html file in Dreamweaver or in a text editor like note pad
2. change the Background colour to alpha = 0
this should work althoug I'm not sure, I'll make it and tell you if I'm right
